This legal notice (Impressum) is provided in accordance with §5 TMG and §55 RStV. It also fulfills the transparency requirements of Article 13 of the General Data Protection Regulation (GDPR).

📄 Terms & Conditions for use of Skillfully Said

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of Skillfully Said, an AI-powered leadership development platform operated by Urchin Insights GmbH (“we,” “us,” or “our”). By accessing or using Skillfully Said, whether as a learner or administrator, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the platform. These Terms apply to all users, including individuals assigned licenses by an employer or organization, and administrators managing access or usage.

These Terms are intended to clarify your rights and responsibilities when using Skillfully Said, as well as the limitations and obligations that apply. Please review them carefully.

2. User Accounts and Access

Access to Skillfully Said is provided to individuals through an organization’s subscription or directly by Skillfully Said for trial or testing purposes. User accounts may be created by a designated organization administrator or by the Skillfully Said team.

Depending on the organization’s preferences, users log in using credentials with either a password or through Single Sign-On (SSO). It is the user's responsibility to keep login information secure and confidential.

User accounts are assigned to individuals and must not be shared. Each account includes access permissions based on the user’s role (e.g., learner or admin). Access is limited to the duration of the organization’s license or trial period and is automatically revoked once the license expires unless otherwise specified in a separate agreement.

3. Use of the Platform

Skillfully Said is designed exclusively for professional development—specifically, to help users build soft skills, leadership capabilities, and to receive coaching on challenges they may face at work. Any use outside of this intended purpose is not permitted.

Users are expected to interact respectfully and professionally. The following behaviors are strictly prohibited:

• Harassing, impersonating, or abusing other users
• Posting or inputting content that is offensive, discriminatory, or inappropriate
• Attempting to reverse engineer, copy, or exploit the platform or its AI systems
• Using automation, bots, or scripts to simulate user activity
• Interfering with platform operations or attempting to breach security measures
• Repeatedly submitting previously successful messages to game feedback or leaderboards

All proprietary models, content, and features developed by Skillfully Said are the intellectual property of the company, unless explicitly customized for and owned by a client organization. Redistribution or republication of content, including AI-generated outputs and feedback, is not allowed without prior written permission.

Screenshots, recordings, or re-use of simulations for internal training purposes must be approved in writing. Please contact us if you'd like to use any part of the platform for such purposes.

4. Content Ownership and Intellectual Property

All content made available through Skillfully Said—including roleplay simulations, AI-generated responses, coaching prompts, feedback, evaluations, and supporting materials—is the intellectual property of Skillfully Said, unless otherwise specified through a custom organizational agreement.

Organizations and users are granted a limited, non-exclusive license to access and use the platform’s content for the purpose of personal or professional development. This license does not transfer ownership or grant rights to reproduce, distribute, modify, or publicly display any content outside of the platform.

Users are prohibited from copying, recording, screenshotting, sharing, or distributing platform content—including AI conversations and feedback—without prior written permission from Urchin Insights.

Any unauthorized use of the platform’s materials may result in the termination of access and potential legal action.

5. AI and Evaluation Disclaimers

Skillfully Said uses artificial intelligence (AI) in two primary ways: to simulate realistic workplace conversations for roleplay and to provide feedback and evaluations based on user responses.

AI-generated responses are not human and may occasionally produce unexpected or imperfect results. They are intended to provide a realistic, yet synthetic, interaction experience.

Evaluation feedback is powered by a proprietary machine learning model trained by organizational psychologists. While designed to reflect real-world leadership standards and behavioral frameworks, it is still an automated system and should not be taken as professional advice or the sole basis for decision-making.

Skillfully Said makes no guarantee regarding specific outcomes or improvements resulting from the use of the platform’s AI features.

6. Data Privacy and Security

Your privacy and data security are very important to us. We collect, process, and store personal data in accordance with applicable data protection laws, including the GDPR. Please review our Data Security & Privacy Policy for detailed information on how we handle your data, your rights as a user, and how to contact us with questions or concerns.

7. Payment and Subscription Terms

Skillfully Said is a business-to-business (B2B) platform. All user licenses are purchased and managed by client organizations. Individual users cannot purchase or modify subscriptions directly.

Licenses may be billed monthly or annually, and—unless otherwise specified by a contract or statement of work—subscriptions automatically renew at the end of each term. Some licenses are issued for limited durations as part of a time-bound engagement or blended learning program; in these cases, renewal is not automatic and follows the terms set out in the governing agreement.

Clients may cancel their subscription at any time. Upon cancellation, billing continues through the end of the current billing cycle (e.g., the current month for monthly plans, or the current year for annual plans). No partial refunds will be issued for the unused portion of a subscription term, unless otherwise required by applicable law or specified in a written contract.

We accept payment via credit card, invoicing, or direct contractual agreements. If you have any questions about your billing terms or wish to discuss a custom license structure, please contact us directly.

8. Termination and Suspension

We reserve the right to suspend or terminate access to the Skillfully Said platform for any user or organization who violates these Terms or engages in misuse of the platform, including but not limited to unauthorized sharing of accounts, cheating, or harmful behavior.

Upon termination or suspension, user access will be revoked immediately. Data retention will follow the policies outlined in our Data Security & Privacy Policy. Users or organizations wishing to terminate their subscription may contact us to request data deletion in accordance with applicable data protection laws.

We reserve the right to modify or withdraw platform access at our discretion, with prior notice wherever possible.

9. Liability and Disclaimers

The Skillfully Said platform and all related services are provided "as is" and "as available," without any guarantees or warranties, express or implied.

While we strive to provide accurate and useful AI-generated feedback and coaching, we do not guarantee specific outcomes or results from using the platform.

Skillfully Said is not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform, including but not limited to downtime, lost data, or reliance on AI-generated content.

Users are responsible for using the platform in compliance with these Terms and applicable laws.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles.

Any disputes arising out of or related to these Terms or your use of the Skillfully Said platform shall be resolved through good faith negotiations. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts located in Germany.

11. Changes to Terms

Skillfully Said may update these Terms from time to time to reflect changes in legal requirements, our services, or business practices.

We will notify users of significant changes by email or prominent notice on the platform prior to the changes taking effect.

Continued use of the platform after changes constitute acceptance of the updated Terms.
